Software EULA

This End-User License Agreement (“EULA”) governs the use of the proprietary components of Ocelot-Cloud (the “Software”).
By installing, accessing, or using the proprietary components of the Software, you agree to this EULA.
1. Scope and Structure
Ocelot-Cloud may include both open-source components and proprietary components.
Open-source components are governed exclusively by their respective open-source licenses.
This EULA applies only to proprietary components, including premium features distributed in compiled or containerized form.
This EULA grants a license to use proprietary components and does not transfer ownership of any intellectual property rights.
2. License Grant
Subject to compliance with this EULA and payment of any applicable fees, the Maintainer grants you a worldwide, non-exclusive, non-transferable, revocable license to:
- Install and self-host the proprietary components for your own personal or internal business purposes.
- Use premium features that are validly licensed to you.
- Provide services to your own customers using Ocelot-Cloud, provided that proprietary components are not offered, marketed, or monetized as a standalone or integrated Software-as-a-Service (SaaS) product.
All rights not expressly granted are reserved.
3. SaaS and Hosting Restriction
The right to operate, offer, market, or monetize proprietary components of Ocelot-Cloud (or any substantially similar proprietary functionality) as a hosted, managed, or Software-as-a-Service (SaaS) offering is expressly reserved to the Maintainer.
Such use requires a separate, explicit written agreement.
This restriction does not limit rights granted under applicable open-source licenses.
4. Restrictions
You shall not:
- Reverse engineer, decompile, modify, or create derivative works of the proprietary components, except where mandatory law permits.
- Circumvent or attempt to circumvent license validation or feature restrictions.
- Remove or obscure proprietary notices.
- Re-license, distribute, or transfer proprietary components outside the scope of this EULA.
This section does not limit rights granted under applicable open-source licenses.
5. License Validation
Premium features may require license validation.
You agree not to interfere with or circumvent license validation mechanisms.
Data processing related to license validation is described in the Ocelot-Cloud Software Privacy Notice.
6. Updates and Changes
The Maintainer may provide updates, modifications, or improvements at its discretion.
Continued use of proprietary components after material changes to this EULA may require acceptance of updated terms.
7. Warranty Disclaimer
The Software is provided “as is” without warranties of any kind, except where mandatory law provides otherwise.
The Maintainer disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
This disclaimer does not affect statutory consumer rights that cannot be waived.
8. Limitation of Liability
To the fullest extent permitted by law, the Maintainer shall not be liable for damages arising from the use or inability to use the Software.
This limitation does not apply to liability arising from:
- Intentional misconduct
- Gross negligence
- Injury to life, body, or health
- Mandatory statutory liability
9. Indemnification
You agree to indemnify and hold harmless the Maintainer from claims arising from your misuse of the Software or violation of this EULA.
10. Termination
This EULA terminates automatically if you violate its terms.
Upon termination, you must cease use of the proprietary components.
Termination does not affect rights granted under applicable open-source licenses.
11. Governing Law
This EULA is governed by the laws of the Federal Republic of Germany.
Mandatory consumer protection laws of your country of residence remain unaffected.
12. Severability
If any provision of this EULA is held invalid or unenforceable, the remaining provisions remain in effect.
13. Entire Agreement
This EULA constitutes the entire agreement regarding proprietary components of Ocelot-Cloud and supersedes prior agreements concerning those components.
